Federal E-Sign Act Disclosure and Consent

DISCLOSURE AND CONSENT FOR ELECTRONIC RECORDS AND SIGNATURES

From time to time, SouthState Bank, N.A. and/or its subsidiaries (“we,” “us” or “SouthState”) may be required by law to provide to you certain notices, disclosure or information “in writing” – which means you are entitled to receive it on paper. However, under the federal E-Sign Act and related state laws, with your prior consent, we can deliver and provide this information to you electronically, and you can use electronic signatures in connection with your transactions with us.

This Disclosure and Consent for Electronic Records and Signatures (“Disclosure and Consent”) describes the terms and conditions for us providing you information electronically and you electronically signing documents we provide you in connection with your consumer loan application (“Transaction”).


1. Consent to electronic records and signatures

By consenting to this Disclosure and Consent, you agree: (a) to conduct business with SouthState electronically, (b) to receive all related documents, including but not limited to notices, disclosures, and terms and conditions (“Documents”) electronically, and (c) that such Documents are binding legal documents.

You further agree that any electronic signatures you provide to us are valid and enforceable as your legal signature. You acknowledge that your electronic signatures legally bind you to the terms and conditions for any Documents and should be given the same effect as a “wet” signature on a hard copy document.


2. Required hardware and software

To access and retain the Documents, you must have the following, which may be updated from time to time:

  • A current version of an Internet browser that that we support (see below),
  • A connection to the Internet,
  • An active email address,
  • Software that permits you to receive, access and print Portable Document Format (“PDF”) files, such as Adobe Acrobat Reader, and
  • A device such as a computer, smart phone, a tablet, and an operating system capable of supporting all of the above. You will also need a printer if you wish to print and retain paper records and electronic storage, if you wish to retain electronic records.

We reserve the right to discontinue support of software or systems for security or other purposes, in our sole discretion.


3. Getting paper copies

You may request a paper copy of any record provided or made available electronically to you by us. You may have to pay a fee for the paper copy, unless charging a fee is prohibited by law. Please refer to the applicable agreement for any fee that may apply.


4. Updating your contact information

Please promptly notify us of any change in your contact information. To let us know of a change in your email address, phone number, mailing address or other contact information, you must call us at 1-800-277-2175, visit a branch or in writing by mail at SouthState Bank, N.A., Attn: Online Loan Support Specialist, P.O. Box 118068, Charleston SC 29423.


5. Withdrawing your consent; Consequences of withdrawing consent

You can withdraw your consent at any time. However, withdrawing your consent may slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will first have to provide Documents to you in paper format and then may have to await your return of acknowledgement of such paper Documents. Additionally, withdrawal of your consent may result in the termination of your ability to use certain SouthState features, products, and systems.

To withdraw your consent:

At any time, you may request paper copies of any documents, notices, and disclosures which have been delivered electronically. Paper copies may be obtained free of charge, by contacting our Online Loan Support Specialist by email at [email protected] or by telephone at 800-277-2175 or by mail at SouthState Bank, N.A, Attn: Online Loan Support Specialist, P.O. Box 118068, Charleston SC 29423. By placing a checkmark in the designated box on the webpage, you agree to receive electronic delivery of documents, notices and disclosures relating to your application for a new loan with SouthState Bank, N.A. If after consenting, you wish to withdraw your consent, you can do so by contacting us at the number, email address or mailing address set forth above. If you do not agree to receive these documents, notices, and disclosures electronically, please do not place a checkmark in the E-SIGN box, discontinue the application process, and contact your nearest South State Bank branch to complete your application.


6. Other Information

We may change, suspend, or terminate all or any aspect of this Transaction and may send paper Documents when deemed appropriate even when you have consented to receive Documents electronically. We will provide you with notice of any termination or change as required by law. In no event will SouthState be liable for any technical, hardware or software failure of any kind, any interruption in the availability of the Transaction any delay in the operation or transmission, any incomplete transmission, computer virus, loss of data, or other similar loss. This Disclosure and Consent is governed by (I) the laws of the State of Florida, excluding any application of conflicts of laws, rules, or principles, and (ii) and applicable federal law.


Acknowledging your access and consent to receive and sign documents electronically

By placing a checkmark in the bullet next to “I have read and agree to the “DISCLOSURE AND CONSENT FOR ELECTRONIC RECORDS AND SIGNATURES AND I CONSENT TO THE USE OF ELECTRONIC RECORD IN CONNECTIONS WITH THIS APPLICATION” you agree to the terms of this Disclosure and Consent, sign this Disclosure and Consent and confirm:

  • You can access and read this Disclosure and Consent.
  • You meet the hardware and software requirements above;
  • You can print on paper this Disclosure and Consent, or save it to a location where you can access and print it for future reference;
  • You consent to receive through electronic means the notices, disclosures, authorizations, acknowledgements, and other documents provided by SouthState in this Transaction.
